Terms of Service

Effective Date: June 13, 2026

These Terms of Service ("Terms") are a binding agreement between you ("you" or "Member") and Formulated Health LLC d/b/a Daodi ("Daodi," "we," "us," or "our") governing your use of the Daodi website, mobile application, services, and products (collectively, the "Service"). By creating an account, subscribing, or otherwise using the Service, you agree to these Terms. If you do not agree, you may not use the Service.

Article 1 — Definitions

"Account" means the registered user account you create to access the Service.

"Consultation" means the video-based assessment and wellness planning session conducted by a Licensed Practitioner to evaluate your wellness needs and develop a Custom Formula.

"Custom Formula" means the personalized herbal granule supplement formula compounded specifically for you based on your Consultation and wellness assessment.

"Effective Date" means the date set forth above, as may be updated from time to time.

"Licensed Practitioner" means a Traditional Chinese Medicine (TCM) practitioner or other qualified health professional licensed in the applicable jurisdiction and retained by Daodi to conduct Consultations.

"Member Content" means any information, data, text, photographs, or other materials you submit or upload to the Service, including health information provided during Consultations.

"Subscription" means your recurring monthly membership for Custom Formula delivery and access to the Service.

"Service" has the meaning set forth in the preamble.

"Terms" has the meaning set forth in the preamble.

Article 2 — Eligibility and Account Registration

Age and Capacity. You must be at least 18 and have legal capacity to enter into these Terms. By using the Service, you represent that you meet this requirement, and if acting on behalf of another individual, that you have authority to bind that individual.

Account Creation. To access certain features, including Consultations and Subscriptions, you must create an Account with accurate, current, and complete information (including name, email, billing information, and health history) and promptly update it if it changes.

Account Security. You are responsible for keeping your credentials confidential and for all activity under your Account, and you must notify us immediately at support@daodi.co of any unauthorized use or security breach. We are not liable for loss arising from your failure to protect your credentials.

One Account Per Person. You may maintain only one active Account. You may not share your Account with others or allow others to access the Service through your Account.

Article 3 — The Service

Service Description. Daodi provides a direct-to-consumer wellness service designed to support women seeking assistance with hormonal and reproductive health concerns, including perimenopause, PCOS, endometriosis, and fertility. The Service includes:

  • Initial Video Consultation. A video-based assessment with a Licensed Practitioner to evaluate your individual wellness needs and goals.
  • Custom Formula Development. Creation of a personalized herbal granule formula based on your Consultation and wellness assessment.
  • Monthly Subscription Delivery. Shipment of your Custom Formula on a recurring monthly basis to your designated address.
  • Follow-Up Consultations. Optional follow-up video sessions with a Licensed Practitioner to review your progress and adjust your Custom Formula as needed.
  • Educational Resources. Access to wellness content, guides, and educational materials related to hormonal and reproductive health.

No Medical Services. The Service is for wellness and educational purposes only. Daodi does not provide medical services, diagnose conditions, prescribe medications, or treat any disease. Licensed Practitioners provide Traditional Chinese Medicine wellness assessments, not medical diagnoses or treatment, and the Service is not a substitute for professional medical advice.

Modifications to the Service. We may modify, suspend, or discontinue the Service or any part of it at any time, with or without notice, and will not be liable for doing so.

Article 4 — Consultations

Scheduling and Attendance. You may schedule Consultations through your Account and are responsible for attending at the designated time.

Practitioner Assignment. Daodi assigns Licensed Practitioners to Members based on availability, expertise, and other factors. You do not have the right to select a specific Licensed Practitioner, though we will make reasonable efforts to honor preferences where feasible.

Practitioner-Member Relationship. The relationship between you and your Licensed Practitioner is limited to wellness assessment and Traditional Chinese Medicine consultation. No physician-patient relationship is created. Licensed Practitioners are independent contractors or employees of Daodi and are not your agents or employees.

Health Information Accuracy. You agree to provide complete, accurate, and truthful information during Consultations and questionnaires. We and Licensed Practitioners rely on this information to develop your Custom Formula, and inaccurate or incomplete information may result in an inappropriate formula.

Follow-Up Consultations. Follow-up Consultations are optional and may be scheduled through your Account. Additional fees may apply for follow-up Consultations, as specified in your Account or on our website.

Article 5 — Custom Formulas and Product Safety

Custom Formulation. Your Custom Formula is compounded based on the assessment and recommendations of your Licensed Practitioner. Custom Formulas are unique to each Member and are not transferable to any other person.

Ingredients and Allergens. Custom Formulas contain herbal granules and other ingredients selected by your Licensed Practitioner. While we make reasonable efforts to identify common allergens and contraindications, you are responsible for reviewing ingredient lists and disclosing all allergies, sensitivities, and medical conditions. We do not guarantee any Custom Formula is allergen-free or safe for your circumstances.

No FDA Approval. Custom Formulas are dietary supplements and have not been evaluated by the U.S. Food and Drug Administration. Custom Formulas are not intended to diagnose, treat, cure, or prevent any disease.

Use as Directed. You agree to use your Custom Formula only as directed by your Licensed Practitioner. Do not exceed recommended dosages. Discontinue use and consult a healthcare provider if you experience adverse reactions.

Not for Emergency Use. The Service and Custom Formulas are not intended for emergency or acute medical situations. If you are experiencing a medical emergency, call 911 or seek immediate medical attention.

Contraindications and Restrictions. Custom Formulas may not be appropriate for individuals who are pregnant, breastfeeding, taking certain medications, or with specific conditions. You must disclose all relevant health information. If you become pregnant, begin breastfeeding, or experience a significant change in health status, you must notify us immediately at support@daodi.co and consult your healthcare provider before continuing use.

Article 6 — Subscriptions, Billing, and Cancellation

Subscription Terms. By enrolling in a Subscription, you authorize Daodi to charge your payment method on a recurring monthly basis for your Custom Formula and associated fees, as set forth on our website and in your Account.

Billing and Payment. Subscription charges are billed monthly in advance on the same day each month (or the last day of a shorter month). You agree to pay all fees and charges, including taxes and shipping. All fees are non-refundable except as expressly provided herein or required by law.

Payment Method. You must provide and maintain a valid payment method and authorize us to charge it for all fees. If your method is declined or expires, we may suspend or terminate your Subscription until you provide a valid method.

Price Changes. We may change Subscription fees at any time with at least 30 days advance notice by email or through your Account. Increases take effect at your next billing cycle after the notice period, and continued use constitutes acceptance.

Cancellation by You. You may cancel anytime by logging into your Account and selecting "Cancel Subscription" or contacting us at support@daodi.co. To avoid the next charge, cancel at least 5 business days before your next billing date. No refund is given for a billing cycle once your Custom Formula has been compounded or shipped.

Cancellation or Suspension by Us. We may suspend or cancel your Subscription immediately if you breach these Terms, provide inaccurate information, engage in fraudulent activity, or for any other reason in our sole discretion. If we cancel your Subscription for cause, you will not be entitled to a refund.

Refunds. Except as required by law or expressly provided herein, all fees are non-refundable. If dissatisfied, you may contact us at support@daodi.co within 14 days of receipt of your first Custom Formula to request a refund or replacement, evaluated case-by-case at our sole discretion.

Article 7 — User Responsibilities and Prohibited Conduct

Compliance with Laws. You agree to use the Service only for lawful purposes and in compliance with all applicable federal, state, and local laws and regulations.

Prohibited Uses. You agree not to:

  • Use the Service for any medical emergency or in place of professional medical care.
  • Provide false, inaccurate, or misleading information during Consultations, in health questionnaires, or in your Account.
  • Share, resell, or distribute your Custom Formula to any other person.
  • Use the Service to obtain Custom Formulas for any person other than yourself.
  • Reverse engineer, decompile, or attempt to extract source code from any software or proprietary technology underlying the Service.
  • Use any automated system, including robots, spiders, or scrapers, to access the Service.
  • Interfere with or disrupt the integrity or performance of the Service or the servers or networks connected to the Service.
  • Attempt to gain unauthorized access to any portion of the Service, other users' Accounts, or any systems or networks connected to the Service.
  • Upload or transmit viruses, malware, or any other malicious code.
  • Harass, abuse, threaten, or otherwise violate the legal rights of Licensed Practitioners, our employees, or other Members.
  • Violate any third party's intellectual property, privacy, or other rights.
  • Use the Service in any manner that could damage, disable, overburden, or impair the Service.

Consequences of Prohibited Conduct. If you engage in any prohibited conduct, we may, in our sole discretion, suspend or terminate your Account, cancel your Subscription, and pursue any legal remedies available to us. You will remain liable for all fees incurred prior to termination.

Article 8 — Intellectual Property

Daodi Intellectual Property. The Service and all content, software, text, graphics, logos, images, video, audio, trademarks, and other materials ("Daodi IP"), including our proprietary wellness assessment methodology and Custom Formula compounding processes, are owned by or licensed to Daodi and protected by applicable intellectual property laws.

Limited License to Use. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your personal, non-commercial use. This license does not grant you any ownership rights in Daodi IP.

Restrictions on Use. You may not copy, reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any Daodi IP, except as expressly permitted by these Terms or with our prior written consent. You may not use Daodi's name, trademarks, or logos without our prior written permission.

Member Content License. By submitting Member Content, you grant Daodi a worldwide, royalty-free, non-exclusive, perpetual, irrevocable, transferable, sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display it in connection with operating, providing, improving, and promoting the Service. This license survives termination.

Member Content Representations. You represent and warrant that you own or have the necessary rights to submit Member Content and to grant the license set forth above, and that your Member Content does not violate any third party's intellectual property, privacy, or other rights.

Feedback. If you provide us with any suggestions, ideas, or feedback regarding the Service ("Feedback"), you grant us an unlimited, irrevocable, perpetual, royalty-free license to use, modify, and incorporate such Feedback into the Service without any obligation to you.

Article 9 — Health and Supplement Disclaimers

NOT MEDICAL ADVICE. THE SERVICE, CONSULTATIONS, CUSTOM FORMULAS, AND ALL CONTENT PROVIDED THROUGH THE SERVICE ARE FOR INFORMATIONAL AND WELLNESS PURPOSES ONLY AND DO NOT CONSTITUTE MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT. YOU SHOULD ALWAYS CONSULT WITH A QUALIFIED HEALTHCARE PROVIDER BEFORE STARTING ANY NEW SUPPLEMENT, MAKING CHANGES TO YOUR DIET OR LIFESTYLE, OR IF YOU HAVE QUESTIONS ABOUT A MEDICAL CONDITION.

NO GUARANTEES OF RESULTS. WE DO NOT GUARANTEE THAT THE SERVICE OR ANY CUSTOM FORMULA WILL IMPROVE YOUR HEALTH, RESOLVE ANY HEALTH CONCERN, OR PRODUCE ANY SPECIFIC RESULT. INDIVIDUAL RESULTS MAY VARY. CUSTOM FORMULAS ARE INTENDED TO SUPPORT GENERAL WELLNESS AND ARE NOT INTENDED TO TREAT, CURE, OR PREVENT ANY DISEASE.

SUPPLEMENT RISKS. ALL DIETARY SUPPLEMENTS, INCLUDING CUSTOM FORMULAS, CARRY POTENTIAL RISKS, INCLUDING ADVERSE REACTIONS, INTERACTIONS WITH MEDICATIONS, AND ALLERGIC REACTIONS. YOU ASSUME ALL RISKS ASSOCIATED WITH YOUR USE OF CUSTOM FORMULAS. YOU SHOULD DISCONTINUE USE AND CONSULT A HEALTHCARE PROVIDER IF YOU EXPERIENCE ANY ADVERSE EFFECTS.

CONSULT YOUR HEALTHCARE PROVIDER. YOU SHOULD INFORM YOUR PHYSICIAN OR OTHER HEALTHCARE PROVIDER ABOUT ALL SUPPLEMENTS YOU ARE TAKING, INCLUDING YOUR CUSTOM FORMULA. DO NOT DISCONTINUE ANY PRESCRIPTION MEDICATION OR TREATMENT WITHOUT CONSULTING YOUR HEALTHCARE PROVIDER.

NO EMERGENCY SERVICES. THE SERVICE IS NOT INTENDED FOR USE IN MEDICAL EMERGENCIES. IF YOU BELIEVE YOU ARE EXPERIENCING A MEDICAL EMERGENCY, CALL 911 OR GO TO THE NEAREST EMERGENCY ROOM IMMEDIATELY. DO NOT USE THE SERVICE, CONSULTATIONS, OR CUSTOM FORMULAS AS A SUBSTITUTE FOR EMERGENCY MEDICAL CARE.

Article 10 — Disclaimers and Limitation of Liability

DISCLAIMER OF WARRANTIES. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE, CONSULTATIONS, CUSTOM FORMULAS, AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. DAODI DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; THAT RESULTS WILL BE ACCURATE, RELIABLE, OR MEET YOUR EXPECTATIONS; THAT ANY ERRORS WILL BE CORRECTED; OR THAT THE SERVICE OR CUSTOM FORMULAS ARE SAFE FOR YOUR SPECIFIC CIRCUMSTANCES OR FREE FROM HARMFUL COMPONENTS.

LIMITATION OF LIABILITY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DAODI, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR LICENSED PRACTITIONERS BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, ANY CUSTOM FORMULA OR CONSULTATION, ANY ADVERSE HEALTH EFFECTS OR ALLERGIC REACTIONS, UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR MEMBER CONTENT OR ACCOUNT, OR ANY OTHER MATTER RELATING TO THE SERVICE.

CAP ON LIABILITY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DAODI'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO DAODI IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED DOLLARS ($100).

JURISDICTIONAL LIMITATIONS. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE LIMITATIONS MAY NOT APPLY.

Article 11 — Privacy and Data Protection

Privacy Policy. Our collection, use, and disclosure of your personal information, including health information, is governed by our Privacy Policy at https://daodi.co/legal/privacy-policy, which is incorporated by reference. By using the Service, you consent to those practices.

Health Information. You acknowledge that the Service requires you to provide sensitive health information, including information about your reproductive health, medical history, medications, and symptoms. We will handle this information in accordance with our Privacy Policy and applicable privacy laws, including HIPAA where applicable.

Third-Party Service Providers. We may share your information with service providers who help operate the Service, including video conferencing, payment, shipping, compounding, and cloud storage partners. They are bound by confidentiality obligations and may use your information only to provide services to us.

No Sale of Health Data. We do not sell your personal health information to third parties for marketing purposes.

Data Retention. We retain your personal and health information while your Account is active and as necessary to provide the Service, comply with legal obligations, resolve disputes, and enforce these Terms. You may request deletion at support@daodi.co, subject to our legal retention obligations.

Article 12 — Communications

Electronic Communications. By using the Service, you consent to receive electronic communications from us (email, text, push, and in-app), including transactional, administrative, and promotional messages, sent to the email or phone number in your Account.

Opting Out of Marketing Communications. You may opt out of promotional emails by clicking the "unsubscribe" link in any promotional email or by updating your communication preferences in your Account. You may opt out of text messages by replying "STOP." Opting out of promotional communications will not affect transactional or administrative communications.

Notices to You. We may provide notices by email, postal mail, or by posting on the Service. Notices sent by email are deemed received when sent to the email address in your Account.

Notices to Us. Any notices to Daodi must be sent in writing to 439 U.S. 1, Ste A, York Maine 03909, USA or by email to support@daodi.co.

Article 13 — Termination

Termination by You. You may terminate these Terms and close your Account at any time by contacting us at support@daodi.co or by following the account closure process in your Account. Termination does not relieve you of any fees or charges incurred prior to termination.

Termination by Us for Cause. We may suspend or terminate your Account immediately, without prior notice, if you breach any provision of these Terms, provide false or misleading information, engage in fraudulent or illegal activity, fail to pay fees when due, or if we are required to do so by law.

Termination by Us for Convenience. We may terminate your Account or discontinue the Service at any time, with or without cause, on 14 days prior written notice. If we terminate without cause, we will provide a pro-rated refund of prepaid Subscription fees for the unused portion of your billing cycle.

Effect of Termination. Upon termination, your right to access and use the Service will immediately cease, you will no longer receive Custom Formula shipments, and we may delete your Account and Member Content. Articles 8, 9, 10, 13, 14, 15, and 16 survive termination.

Article 14 — Indemnification

You agree to indemnify, defend, and hold harmless Daodi, its affiliates, and their respective officers, directors, employees, agents, licensors, and Licensed Practitioners from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or related to your use of the Service, your breach of these Terms, your violation of any law or regulation, your violation of any third party's rights, any inaccurate information you provide, or any Member Content you submit.

Article 15 — Dispute Resolution and Arbitration

Informal Dispute Resolution. Before initiating arbitration, you agree to contact us at support@daodi.co and attempt to resolve the dispute informally. If not resolved within sixty (60) days, either party may initiate arbitration.

Binding Arbitration. Except as set forth below, any dispute arising out of or relating to these Terms or the Service will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration will be conducted by a single arbitrator, whose decision will be final and binding.

Arbitration Location and Procedure. The arbitration will be conducted in Cumberland County, Maine, or remotely by videoconference or telephone if you prefer. The arbitrator will apply the substantive law of Maine.

CLASS ACTION WAIVER. YOU AND DAODI AGREE THAT DISPUTES WILL BE RESOLVED ONLY ON AN INDIVIDUAL BASIS AND NOT AS A CLASS ARBITRATION, CLASS ACTION, OR ANY OTHER KIND OF REPRESENTATIVE PROCEEDING.

Opt-Out Right. You have the right to opt out of the arbitration agreement by sending written notice to support@daodi.co within thirty (30) days of the date you first accepted these Terms.

Exceptions to Arbitration. Either party may bring an individual action in small claims court if the claim qualifies, or seek injunctive or equitable relief to prevent infringement of intellectual property rights.

JURY TRIAL WAIVER. TO THE EXTENT ARBITRATION DOES NOT APPLY, YOU AND DAODI WAIVE ANY RIGHT TO A JURY TRIAL OF ANY DISPUTE.

Article 16 — Governing Law and Jurisdiction

Governing Law. These Terms and any dispute will be governed by the laws of Maine, without regard to its conflict of law principles.

Jurisdiction and Venue. To the extent arbitration does not apply, you and Daodi consent to the exclusive jurisdiction and venue of the state and federal courts located in Cumberland County, Maine.

Article 17 — Miscellaneous

Entire Agreement. These Terms, together with our Privacy Policy and any other policies incorporated by reference, constitute the entire agreement between you and Daodi regarding the Service.

Amendment. We may amend these Terms by posting the amended version and updating the Effective Date. We will give notice of material amendments by email or through the Service at least 30 days before they take effect.

Severability. If any provision is held invalid or unenforceable, the remaining provisions will remain in full force and effect.

Waiver. Our failure to enforce any right or provision will not constitute a waiver of that right or provision.

Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms without your consent.

No Third-Party Beneficiaries. These Terms do not confer any rights or remedies upon any person other than you and Daodi.

Force Majeure. Neither party will be liable for any failure or delay in performance due to causes beyond its reasonable control.

Independent Contractors. The parties are independent contractors. These Terms do not create a partnership, joint venture, agency, fiduciary, or employment relationship.

Language. These Terms are drafted in English. If translated into any other language, the English version will control.
